Terms of Service

1. Introduction

These Terms of Service ("Terms") govern your use of the IPWeb3 platform ("Service"), operated by Zinkvision ("we", "us", "our"). By accessing or using the Service, you agree to be bound by these Terms.

IPWeb3 is a B2B service that helps animation studios and creative companies register, manage, and license their intellectual property on-chain. If you do not agree to these Terms, do not use the Service.

2. Service Description

IPWeb3 provides the following services:

  • Registration of intellectual property on-chain as ERC-721 tokens (NFTs)
  • A studio portal for managing your IP portfolio, certificates, licenses, and team
  • Certificate generation with QR codes for proof of ownership
  • A licensing marketplace for IP monetization
  • Managed on-chain wallet services
  • Permanent file storage via decentralized infrastructure (IPFS)

We are a service provider. We do not create content, provide legal advice, or guarantee licensing revenue. Certificate generation and contract templates are for informational purposes only — consult your own legal counsel for complex licensing deals.

3. Nature of Service

IPWeb3 certificates provide on-chain-based proof of registration. They create a timestamped, tamper-proof record on the Polygon network that documents when an intellectual property was registered through our platform.

Our certificates are not a substitute for copyright registration with government offices (e.g., the US Copyright Office, EUIPO, or equivalent agencies in your jurisdiction). On-chain registration does not confer legal copyright ownership, trademark rights, or any statutory intellectual property protection.

Our certificates can serve as supporting evidence in IP disputes by providing an independently verifiable, timestamped record of when content was registered. However, we make no guarantees about the legal weight or admissibility of on-chain records in any court or jurisdiction.

We strongly recommend that rights holders also pursue formal copyright registration in their relevant jurisdictions for maximum legal protection. IPWeb3 is a technology service, not a law firm or intellectual property office.

4. Accounts and Access

IPWeb3 is a private, invitation-based service. Accounts are created by Zinkvision during onboarding. There is no public self-registration.

You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You must notify us immediately at hello@ipweb3.com if you suspect unauthorized access.

Each studio account may include team members with different roles (Owner, Admin, Editor, Viewer). The account Owner is responsible for managing team access and permissions.

5. Intellectual Property Ownership

You retain full ownership of all intellectual property you register through IPWeb3.

Every NFT and on-chain registration belongs to your studio. IPWeb3 is a service provider, not an IP owner. You may leave the platform and take your assets with you at any time by transferring them to your own wallet.

By using the Service, you grant Zinkvision a limited, non-exclusive license to store, display, and process your content solely for the purpose of providing the Service (e.g., generating certificates, displaying your portfolio in the marketplace, storing files on IPFS).

6. On-chain Registration

IP registrations are recorded on-chain as permanent, immutable, timestamped records. Once registered:

  • Registrations cannot be altered, deleted, or reversed
  • Records are publicly verifiable via certificate verification pages
  • Files stored on IPFS remain permanently accessible via their content hash
  • Registrations persist even if your subscription is cancelled

You acknowledge and accept the permanent nature of on-chain transactions before submitting content for registration.

7. Managed Wallet

Zinkvision creates and manages a on-chain wallet on behalf of each studio. You do not need any cryptocurrency or on-chain knowledge to use the Service.

All gas fees (on-chain transaction costs) are included in your subscription. You may request a transfer of your wallet and all associated assets to your own self-custody wallet at any time.

While we implement industry-standard security measures to protect managed wallets, we cannot guarantee absolute security against all potential threats. We will notify you promptly of any security incident affecting your assets.

8. Pricing and Payment

Subscription fees are billed annually via Stripe with loyalty pricing that decreases each year of continued service. Current Year 1 pricing:

Transaction fees apply to marketplace license sales and cover payment processing costs (Stripe) and platform operations. There are no hidden fees.

Failure to pay subscription fees will result in suspension of access to the studio portal and management tools. Your on-chain registrations remain unaffected.

9. Cancellation and Account Closure

You may cancel your subscription at any time. However, to fully close your account, you must resolve the custody of your on-chain IP assets by choosing one of the following:

  1. Transfer all IPs to your own wallet — you take full self-custody of your registered assets off-platform.
  2. Agree to transfer IP custody to IPWeb3 — the platform retains custody of your registered assets.

Your account cannot be fully closed until one of these options is completed. We will guide you through the process.

Upon cancellation, you lose access to the studio portal, management tools, and support. Your on-chain registrations and certificate verification URLs remain valid permanently.

10. Acceptable Use

You agree not to:

  • Register content you do not own or have rights to
  • Use the Service for any illegal purpose
  • Attempt to access other studios' data or accounts
  • Interfere with or disrupt the Service or its infrastructure
  • Reverse-engineer, decompile, or attempt to extract the source code
  • Resell or sublicense access to the Service without written permission

We reserve the right to suspend or terminate accounts that violate these Terms.

11. Third-Party Services

The Service relies on third-party providers. By using IPWeb3, you acknowledge that your data may be processed by:

  • Polygon network — for IP registration and smart contract execution
  • Stripe — for payment processing and subscription billing
  • Storacha (IPFS) — for permanent, decentralized file storage
  • Clerk — for authentication and account management
  • Vercel — for application hosting

Each provider operates under their own terms and privacy policies. We are not responsible for their availability, performance, or data handling beyond our contractual agreements with them.

12. Limitation of Liability

To the maximum extent permitted by law, Zinkvision shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of the Service.

We do not guarantee that on-chain networks will be available at all times, that transactions will be processed within any specific timeframe, or that IP registration constitutes legal protection in any jurisdiction.

IPWeb3 is a technology service — not a law firm, regulatory body, or intellectual property office. Registration through our platform does not replace formal copyright registration or legal counsel.

13. Changes to Terms

We may update these Terms from time to time. We will notify active subscribers of material changes via email at least 30 days before they take effect. Continued use of the Service after changes constitutes acceptance of the updated Terms.
